Introduction and Acceptance

Welcome to King Sanders, LLC (“King Sanders,” “we,”“us,” or “our”). These Terms of Service govern your use of our website, referral program and services. By accessing or using any part of our site or by engaging us to buy or sell real estate, you agree to be bound by these terms. If you do not agree with these terms you should not use our services.

These terms form a legally binding agreement between you and King Sanders. We may update these terms from time to time to reflect changes in law or our business practices. We will post the updated terms on our website and your continued use of our services after changes are posted means you accept the updated terms.

We use plain language to make these terms easy to read. If you have questions please contact us. Our time zone is America New York and references to days or business days are based on that time zone.

Services Provided

King Sanders purchases and sells residential, commercial, multifamily, industrial and land properties. We connect property owners with qualified buyers and coordinate offers, counteroffers, documentation and closing. We act as a principal buyer or seller in transactions and may resell or assign contracts to other purchasers. We are not acting as your broker, agent, investment advisor or legal advisor; you should consult licensed professionals before making financial or legal decisions. We do not guarantee that a sale will close or that you will receive a particular return or outcome. Availability of our services may vary by state.

No Agency Relationship

We are not your broker or fiduciary. When we purchase property we do so as a principal purchaser for our own account. When we connect you with a buyer or seller we facilitate the transaction but we do not represent either party as an agent. You remain free to engage your own real estate broker, attorney, accountant or other advisors at your own cost. You are responsible for determining whether a transaction meets your financial, legal and tax objectives.

Eligibility and Fair Housing

To use our services you must be at least eighteen years old and have the legal capacity to enter into contracts. Certain services, such as our referral program, require you to hold a current real estate license. By using our services you affirm that you are not barred from doing business under any applicable law.

King Sanders supports equal housing opportunities. We follow the letter and spirit of United States fair housing laws and do not discriminate based on race, color, religion, sex, handicap, familial status or national origin. We also comply with state and local fair housing requirements. We will not assist with any transaction that violates these laws and we encourage all participants to report discriminatory practices.

We aim to follow the Web Content Accessibility Guidelines (WCAG) and to design our site so that people with disabilities can perceive, understand and interact with it. Intellectual Property

You may not copy, reproduce, distribute, display, sell or exploit any Content without our prior written permission. You may download or print a copy of materials for your personal, non commercial use only, provided that you retain all proprietary notices. Except for the limited right to use our website under these terms, we do not grant you any rights to our intellectual property.

Affiliate and Referral Disclosure

We may refer real estate deals to other buyers or partners and receive compensation for these referrals. When we promote or recommend a property or partner we disclose any material connection as required by the Federal Trade Commission. A material connection means a relationship that could affect the credibility of the endorsement, such as receiving a fee for referring a buyer or seller. We will clearly and conspicuously disclose when we are paid for a referral so you can evaluate the information objectively.

Referral Program Terms

We offer a referral program for licensed real estate agents. Under this program agents can receive a one percent commission on a closed sale if they refer a seller or buyer and a written referral agreement is executed before the client engages with King Sanders. To participate you must:

Hold a valid and active real estate license in good standing.

Enter into a referral agreement with us before the client requests an offer or otherwise engages with our company.

Ensure that the client has not already requested an offer from us or been referred within the past one hundred eighty days.

Not refer a property that you or a close relative own or that is owned by an institutional real estate investment trust, because we want to avoid conflicts of interest and ensure fairness.

We will pay the referral reward after the closing is completed and payment has been received from the buyer. We may require tax documentation before issuing payment. Referral terms may change from time to time; we will honour the terms in effect when your referral agreement is executed. We reserve the right to decline any referral or to suspend the program at our discretion.

Investment Risk

Real estate involves risk. Properties can be illiquid and their value may decline due to market conditions, physical issues, interest rates or other factors. Distributions or profits are not guaranteed, and investors can lose part or all of their investment. You should not interpret any information we provide as an investment recommendation. Consult your own advisor before making a purchase or sale decision.

Transactional Transparency

We may resell or assign contracts. When we buy a property we may assign our contract to another buyer or resell the property before or after closing. Our profit comes from the difference between the price we pay to the seller and the amount we receive from the end buyer. We disclose this in our purchase agreements. You may ask questions about our process at any time.

King Sanders is committed to fairness, transparency and integrity. Our mission is to make property ownership attainable and to keep selling simple and profitable for all parties. On our About page we describe our values: fairness, transparency, affordability, accessibility, efficiency and a customer centered approach. Based on those values we expect ourselves and our partners to:

• Treat all parties with respect, honesty and courtesy.

• Present a true picture in advertising and marketing and avoid deceptive or misleading statements.

• Disclose any conflicts of interest, including ownership interests and referral fees.

• Honor our commitments and follow through on agreements.

• Comply with all applicable laws, including fair housing, consumer protection, anti bribery and anti corruption statutes.

• Protect confidential information and respect the privacy of sellers and buyers.

Conflict of Interest

We commit to honest and truthful communications and will not present our services as free or without cost when we receive compensation. In our referral program we do not accept referrals of properties owned by agents or their immediate family members or properties owned by institutional investment trusts to avoid unfair advantage. We also follow the National Association of REALTORS® standard of presenting a true picture in our advertising and disclosing our status as real estate professionals.

Data Security, Confidentiality and Data Requests

We take data security seriously. Our privacy policy explains how we collect, use and protect personal information. In brief, we restrict access to personal information to those who need it, we use secure technologies to store and transmit data and we maintain confidentiality agreements with our service providers. We do not sell personal information. If you have questions about your information or would like to request access, correction or deletion, please contact us. We will respond as required by applicable privacy laws.

Records Retention

We retain purchase agreements, deeds, closing statements and other records in accordance with legal requirements and industry guidelines. The National Association of REALTORS® recommends keeping accounting records and bank statements for at least seven years and retaining deeds and closing papers permanently. We maintain these records in secure storage and destroy or anonymise data when it is no longer needed.

Email Communications

If you provide us with your email address we may send you updates about your transaction, referral opportunities or promotional materials. We follow the CAN SPAM Act, which requires accurate headers and subject lines, identification of marketing messages as advertisements, a physical mailing address and a clear opportunity to opt out. You can opt out of marketing emails at any time. We will honour your opt out request within ten business days. Transactional emails relating to a property or referral agreement are still necessary and you may receive them even if you opt out of marketing messages.

Testimonials and Reviews

We may display testimonials or reviews on our website or social media pages to share experiences from past customers. We do not pay for or create fake reviews. The Federal Trade Commission’s final rule on consumer reviews and testimonials prohibits businesses from engaging in unfair or deceptive practices such as writing or buying fake reviews, suppressing honest negative reviews or misusing fake social media indicators. We follow this rule. When someone connected with our business (such as an employee or partner) provides a testimonial we will ensure that the relationship is disclosed. Individual experiences may vary and testimonials are not a guarantee of results. If you submit a review or testimonial you grant us permission to publish it along with your first name and state.

Social Media

We maintain profiles on social media platforms. Posts on our official accounts represent our views at the time of posting. We may share links to third party content; we are not responsible for the accuracy of information posted by others. Employees and partners who share content about King Sanders on their personal accounts must disclose their relationship to our company; listing an employer on a profile is not enough. Disclosures should be placed close to the endorsement so that people see them without having to search. We do not tolerate fake followers or other fake indicators of social media influence.

User Conduct and Prohibited Activities

We expect all users to act lawfully and respectfully while using our website and services. You agree not to:

• Provide false or misleading information about yourself or a property.

• Upload or transmit any content that is unlawful, abusive, defamatory, harassing, obscene or otherwise objectionable.

• Engage in fraud, misrepresent ownership or attempt to sell a property you do not own or have authority to sell.

• Interfere with the operation of our website, including hacking, scraping, automated access or transmitting malware.

• Violate any applicable law, regulation or third party rights.

We may suspend or terminate your access to our services if you engage in any prohibited activities or if your use of our services poses a risk to us or others.

Anti Bribery and Anti Corruption

King Sanders has zero tolerance for bribery or corruption. We follow all applicable laws, including the U.S. Foreign Corrupt Practices Act and state statutes. We do not offer, give, solicit or accept bribes or kickbacks in connection with any transaction. We permit gifts or hospitality only if they are legal, reasonable and do not influence business decisions. Employees and partners must report any request for improper payments.

Community Impact and Giving

We believe that successful real estate transactions can contribute to healthier communities. We strive to invest in the areas where we operate by supporting housing initiatives and community programs. We may donate a portion of our profits or volunteer our time to local organizations. Our giving initiatives do not influence our business decisions or the prices we offer for properties.

Termination of Access

We may, in our sole discretion, suspend or terminate your access to the website or our referral program and remove any related content for any reason, including if we believe you have violated these terms, misused our services or acted unlawfully. We are not required to notify you in advance of termination. We will have no liability to you for any termination, suspension or removal.

Limitation of Liability

To the maximum extent permitted by law, King Sanders is not liable for any indirect, consequential or special damages arising out of or related to your use of our website or services. Our total liability for any claim under these terms is limited to the amount you paid us in the transaction giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

Our website may contain links to websites or services operated by third parties. These links are provided for your convenience only. We do not control and are not responsible for the content, privacy practices or operations of those sites. A link does not imply our endorsement. When you leave our website you should review the terms and policies of any third party site.

Content and DMCA Notice

If you believe that your copyrighted work has been copied, posted or used on our website in a way that constitutes copyright infringement, please notify us in writing. Updated versions will be posted on this page and, when practical, we will notify users who have signed up for email updates. Please review these terms periodically to stay informed. If you continue to use our services after we post revised terms, you accept the revised terms. If you do not agree to the changes you must stop using our services.

Indemnification

You agree to indemnify and hold King Sanders and our affiliates, officers, employees and agents harmless from any claims, damages, losses or expenses (including legal fees) arising from your misuse of our services, your violation of these terms or your violation of any rights of another person or entity.

Governing Law and Dispute Resolution

These terms are governed by the laws of the State of Florida without regard to its conflict of laws principles. Any dispute arising under these terms will be resolved in the state or federal courts located in Florida, unless we agree to an alternative method. You waive any objection to jurisdiction or venue in those courts. If you are a consumer and the law of your state requires another forum, that law may apply.
